Contractor agreement questions, answered

General information, not legal or tax advice

This page is general information about a commonly-used document. State and local law varies — for advice on your specific situation, consult a licensed attorney in your jurisdiction. AttachKit fills the PDF; you're responsible for whether the contents are right for your case.

Should I use a contractor agreement vs an MSA + SOW?
For one-off projects, a single contractor agreement is fine. For ongoing relationships with multiple projects, an MSA (master agreement covering recurring terms) + per-project SOWs is cleaner. AttachKit fills either.
Who owns the work product?
Depends on the contract. 'Work made for hire' only transfers copyright automatically in narrow cases (employee work, or certain commissioned categories under a signed agreement) — for most freelance deliverables the client needs a separate written IP-assignment clause to own the work, while a 'license' just lets them use it. Read your contract carefully and get legal advice for anything high-stakes; AttachKit doesn't review legal terms.
What about a W-9 too?
Clients typically request a W-9 alongside the contractor agreement so they can 1099 you later. Fill it via /fill/w-9.
